Terms of Service

These Terms of Service ("Terms") govern the provision of freelance software engineering and web development services by HaikaiTech Solutions ("we", "our", "us") to you ("Client"). By engaging our services, you agree to these Terms.

1. Services

We provide custom software development, web application development, dashboard development, interactive visualisation, and related technical consulting services. The specific scope, deliverables, timeline, and fees for each project will be outlined in a separate project proposal or Statement of Work ("SOW") agreed upon by both parties.

2. Payment Terms

  • Project fees are structured as milestone-based payments as specified in the SOW.
  • A deposit may be required before work begins, as specified in the SOW.
  • Invoices are due within 14 days of receipt unless otherwise agreed.

3. Intellectual Property

  • Deliverables: Upon full payment, the Client receives full ownership of the custom code, designs, and deliverables created specifically for the project.
  • Pre-existing materials: We retain ownership of any pre-existing code, libraries, frameworks, or tools used in the project. We grant the Client a perpetual, non-exclusive license to use these as part of the delivered work.
  • Portfolio right: We reserve the right to display the completed project in our portfolio and on our website unless a non-disclosure agreement explicitly prohibits it.

4. Client Responsibilities

The Client agrees to: (a) provide timely feedback and approvals; (b) provide access to necessary systems, content, and third-party accounts; (c) make milestone payments on schedule. Delays caused by the Client may extend the project timeline.

5. Limitation of Liability

To the maximum extent permitted by Malaysian law, our total liability for any claim arising from our services is limited to the total fees paid by the Client for the specific project giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including loss of profits or data.

6. Termination

Either party may terminate a project with 14 days' written notice. In the event of termination, the Client shall pay for all work completed up to the termination date. Any deliverables produced up to that point will be transferred to the Client upon payment.

7. Governing Law

These Terms are governed by the laws of Malaysia. Any disputes shall first be attempted to be resolved through good-faith negotiation, and if unresolved, through mediation in Penang, Malaysia.
